In compliance with the provisions of Legislative Decree no. 231/2001, the Board of Directors appoints the Surveillance Body, in charge of monitoring the effectiveness of the Organizational, Management and Control Model as per Legislative Decree No. 231/2001, verifying its adequacy and ensuring its updating.
The Surveillance Body of Leonardo, following the three-year appointment by the BoD on 28 July 2023, is currently composed of five members: four external professionals, Federico Maurizo D’Andrea (Chairman), Giandomenico Caiazza, Raffaele Cusmai and Romina Guglielmetti, as well as one internal member by right in accordance with the related Articles of Association, the Chief Audit Executive Salvatore Lampone, the presence of whom within the Surveillance Body is aimed at ensuring adequate coordination between the various parties involved in the internal control and risk management System.
Among the main tasks of the Body: monitoring the validity of the Model over the time, promoting any and all necessary actions to ensure its effectiveness, even after consultation with the company structures concerned; holding periodical hearings of the Managers responsible for potential areas at risk of offences pursuant to Legislative Decree No. 231/2001; providing recommendations or indications to the top management and to the corporate bodies, also with respect to the appropriate actions for improving or adapting checks.
